1. Who we are
VietConnect (“VietConnect”, “we”, “us”) is operated by Trade With Viet Company Limited (Business Registration No. 3301750467), a company registered in Vietnam. You can reach us at info@tradewithviet.com. These Terms govern your access to and use of the VietConnect website and services (the “Platform”).
By creating an account or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. What VietConnect is — and is not
VietConnect is a B2B sourcing-intelligence directory. We help buyers discover Vietnamese suppliers and service providers and surface verification signals about them.
VietConnect is not a party to any transaction between a buyer and a supplier. We are not a marketplace, broker, agent, importer, exporter, or escrow service. We do not manufacture, sell, ship, or take title to any goods. Any contract for goods or services is solely between the buyer and the supplier.
3. Verification is a signal, not a guarantee
Verification badges, trust scores, and tier labels reflect automated and manual checks performed at a point in time, based on information that is often self-reported by suppliers or sourced from third parties. They are indicators to help you assess a supplier — they are not a guarantee of a supplier’s legitimacy, honesty, financial standing, product quality, regulatory compliance, or delivery performance.
You remain responsible for conducting your own due diligence before entering into any transaction, including independently verifying credentials, samples, certifications, and references.
4. Compliance and regulatory information
Any regulatory, customs, tariff, certification, or compliance information on the Platform — including tools that reference EUDR, CBAM, PPWR, FDA, or Vietnamese regulations — is general information for educational purposes only. It is not legal, customs, tax, or compliance advice, may be incomplete or out of date, and must not be relied on as a substitute for advice from a qualified professional. Penalty figures and deadlines are indicative only.
5. Your account and acceptable use
- You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
- You must be authorised to act on behalf of any business you represent.
- You may not misuse the Platform: no scraping at scale, no fraudulent or misleading listings or inquiries, no infringement of third-party rights, no unlawful, abusive, or spam activity.
- We may suspend or terminate accounts that breach these Terms or create risk for other users.
6. Paid plans and billing
Some features require a paid subscription. Pricing, billing cycle, and included features are described at the point of purchase. Where payment is processed by Stripe, your use is also subject to Stripe’s terms. Refund and cancellation terms, where offered, are stated at checkout. Service-level commitments, where offered, are defined in a separate agreement and are not implied by feature labels.
7. Intellectual property
The Platform, including its software, design, and content we create, is owned by VietConnect or its licensors. Supplier-submitted content remains the responsibility of the supplier. You may not copy, resell, or create derivative works from the Platform except as expressly permitted.
8. Disclaimers and limitation of liability
The Platform is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that listings are accurate, that suppliers will perform, or that the Platform will be uninterrupted or error-free.
To the fullest extent permitted by law, VietConnect is not liable for any indirect, incidental, special, or consequential loss, or for any loss of profit, data, or goodwill, or for any loss arising from a transaction or dispute between a buyer and a supplier.
Where liability cannot be fully excluded, our total aggregate liability to you for all claims arising out of or relating to the Platform is limited to the greater of (a) the total fees you paid us in the twelve months before the event giving rise to the claim, or (b) USD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Indemnification
You agree to indemnify and hold VietConnect harmless from claims, losses, and reasonable costs arising out of your misuse of the Platform, your breach of these Terms, content or information you submit, or your dealings with another user.
10. Force majeure
We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party infrastructure, network or power failures, natural events, or government action.
11. Governing law, language, and disputes
These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. Where you are protected by mandatory consumer or data-protection laws of another jurisdiction (for example, the EU/EEA or the United States), those protections continue to apply.
We will try to resolve any dispute informally first — please contact us. If a dispute cannot be resolved, it will be submitted to the competent courts of Vietnam, or, by mutual agreement, to arbitration at the Vietnam International Arbitration Centre (VIAC). These Terms are written in English; if we provide a Vietnamese version and there is any conflict, the Vietnamese version prevails for matters governed by Vietnamese law.
12. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with the Privacy Policy and any document they reference, are the entire agreement between you and us regarding the Platform.
